Welcome to www.gulmal.in (“Website” or “Site”), operated by Gulmal, a sole proprietorship based in Jabalpur, Madhya Pradesh, India. Our products are manufactured in Jaipur and shipped to customers across India from Jabalpur via our Shopify-hosted e-commerce platform. By accessing or using our Website, purchasing products, or engaging with our services (“Services”), you (“you” or “User”) agree to be bound by these Terms of Service (“Terms” or “ToS”), along with our Privacy Policy, Shipping Policy, and Return & Exchange Policy, incorporated by reference. If you do not agree with these Terms, please do not use our Website or Services.

These Terms are an electronic record under the Information Technology Act, 2000, and rules thereunder, as amended. This record is generated by a computer system and does not require physical or digital signatures. Any new features or tools added to the Website are subject to these Terms.

By using our Website, you confirm you are at least 18 years old or have parental/legal guardian consent to form a legally binding contract under the Indian Contract Act, 1872. If under 18, you may use the Website only with parental or guardian involvement. Gulmal reserves the right to refuse or terminate access at any time without notice for violations of these Terms or applicable laws.

We may update these Terms without prior notice by posting changes on this page with an updated “Last Updated” date. Your continued use after changes constitutes acceptance. We encourage periodic review.

3. Website Use

Invitation to Offer: Products and Services on the Website are an “invitation to offer.” Your order is an “offer,” which we may accept or reject. Acceptance occurs upon dispatch, confirmed via email to your registered email address.
Access Responsibility: You are responsible for maintaining equipment and internet access. Gulmal is not liable for issues arising from your failure to secure adequate resources.
Account Security: If you create a Shopify account, provide accurate, current, and complete information, keep your user ID and password confidential, and notify us immediately of unauthorized use at hello@gulmal.in. We may suspend or terminate accounts for false information or breaches.

4. Intellectual Property

Ownership: All Website content (text, images, designs, logos, trademarks, graphics, source code) is owned by Gulmal or licensed from third parties, protected by copyrights, trademarks, and other rights. You may not copy, reproduce, modify, distribute, or create derivative works without our written consent.
Limited License: You are granted a limited, non-exclusive, non-transferable license to use content for personal, non-commercial purposes. Commercial use or unauthorized reproduction is prohibited.
User Content: By posting content (e.g., reviews, feedback), you grant Gulmal a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and distribute it for business purposes. You warrant your content does not infringe third-party rights.

5. User Conduct

You agree not to:

Engage in spamming, phishing, or unauthorized advertising.
Interfere with Website security, functionality, or user experience.
We may remove objectionable content or suspend/terminate access without notice for violations.

6. Orders and Payments

Pricing: Prices are Maximum Retail Price (MRP), inclusive of Indian taxes. Additional taxes or delivery charges may apply per the Shipping Policy.
Payment Security: Payments are processed via third-party gateways. Use authorized payment methods and provide accurate details. We are not liable for unauthorized transactions, payment declines, or third-party issues. We may request verification (e.g., ID proof) for security.
Order Cancellation: We may cancel orders due to stock unavailability, pricing errors, fraud detection, or other reasons. Refunds for cancelled prepaid orders will be processed within 10-12 business days to the original payment method.

7. Product Descriptions and Accuracy

Handcrafted Variations: We strive for accurate product descriptions and images but cannot guarantee exactness due to handcrafted variations (e.g., color, texture). Minor differences are normal and not defects unless the product is damaged or materially different.
Availability: Products are subject to availability. If unavailable, we’ll contact you to approve changes or cancel with a full refund per the Return & Exchange Policy.

8. Delivery and Returns

Delivery: Orders are dispatched from Jabalpur within 2–4 business days, with delivery in 7–10 business days, per the Shipping Policy. We are not liable for delays due to courier issues, incorrect addresses, or force majeure.
Returns: Returns and exchanges are limited to defective or damaged products, reported within 7 days of delivery, with store credit issued upon approval, per the Return & Exchange Policy.

9. Disclaimer of Warranties

The Website, products, and Services are provided “as is” and “as available” without warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant:

Uninterrupted or error-free Website access.
Accurate or current product descriptions or content.
Virus-free Website or communications.
You use the Website at your own risk and are responsible for device or data damage.

10. Limitation of Liability

To the maximum extent permitted by law, Gulmal, its owner, employees, or affiliates are not liable for direct, indirect, incidental, consequential, or punitive damages, including loss of profits or data, arising from:

13. Communications

You consent to receive electronic communications (emails, WhatsApp) about accounts, orders, promotions, or updates. Opt out of promotional emails via the unsubscribe link or hello@gulmal.in. Administrative communications cannot be opted out of while using our Services.

14. Force Majeure

We are not liable for failure to perform due to events beyond our control, including war, strikes, epidemics, government actions, or natural disasters. Lack of funds or financial inability does not qualify as force majeure.

15. Termination

By You: Terminate by ceasing Website use and closing your account.
By Gulmal: We may suspend or terminate access without notice for violations, fraud, legal requirements, or commercial reasons.
Effect: Termination ends your access, but liability, indemnification, and dispute resolution provisions survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes will be resolved exclusively in the courts of Jabalpur, MP, India. Claims must be filed within one year of the issue, or they are barred.

17. Severability

If any provision is invalid or unenforceable, it will be severed, and the remaining provisions remain in effect.

18. Waiver

Failure to enforce a provision does not waive our right to enforce it later.

19. Entire Agreement

These Terms, with our Privacy Policy, Shipping Policy, and Return & Exchange Policy, form the entire agreement, superseding prior communications.
